Terms of Service

These Terms of Service ("Terms") govern your use of tonezlab.com (the "Site") and your purchase and use of digital products sold by Tonez Lab ("we," "us," or "our"). By accessing the Site or purchasing products, you agree to these Terms. If you do not agree, please refrain from using the Site.


1. About us

Tonez Lab is a sole trader business based in Oxford, United Kingdom, selling digital audio sample packs, drum loops, one-shots, and related sound design content (collectively, "Products").

2. Eligibility

To purchase Products from us, you must be at least 18 years old, or at least 16 with the consent of a parent or guardian who agrees to these Terms on your behalf and takes responsibility for the purchase. By placing an order, you confirm that you meet these requirements and are capable (or are supported by someone capable) of forming a legally binding contract under the laws of England and Wales.


3. Products and orders

3.1 All Products sold on the Site are digital files delivered via download link. No physical goods are shipped.

3.2 Product descriptions, audio previews, and images are provided in good faith. We use reasonable efforts to ensure accuracy, but minor variations between previews and final files (such as file format details or pack contents) do not constitute a breach of contract.

3.3 When you place an order, you make an offer to purchase the Product. The contract between you and us is formed when we send you order confirmation by email. We reserve the right to refuse or cancel any order at our discretion (for example, in cases of suspected fraud or pricing errors).

3.4 All prices are displayed in GBP (£) and include applicable taxes where relevant. We reserve the right to change prices at any time without notice; the price applicable to your order is the price displayed at the time of purchase.


4. Payment

4.1 Payment is processed securely via Shopify Payments and any other payment methods made available at checkout. We do not store your full payment card details.

4.2 Payment must be received in full before download access is granted.


5. Delivery of digital products

5.1 Following successful payment, a download link will be sent to the email address you provide at checkout. Download links will also be available in your customer account if you have created one.

5.2 Download links remain accessible for a reasonable period following purchase. We recommend you download your purchase promptly and back up the files to your own storage. We are not obligated to provide replacement downloads indefinitely.

5.3 It is your responsibility to ensure the email address provided at checkout is correct and that our emails are not blocked by your spam filter.


6. Refunds and cancellations

6.1 Due to the nature of digital products, all sales are final and non-refundable once the download has been accessed or the download link has been issued. This policy is in line with Regulation 37(1)(a) of the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, which permits sellers to exclude the standard 14-day right of cancellation for digital content delivered before the cancellation period ends, provided the customer has consented to immediate delivery.

6.2 By placing an order and accessing your download, you expressly consent to immediate delivery of the digital content and acknowledge that you lose your right to cancel under the Consumer Contracts Regulations.

6.3 If you experience a genuine technical issue with your purchase (for example, a corrupted file or missing content), please contact us within 14 days of purchase at contact@tonezlab.com and we will work with you to resolve it. This may include providing a replacement download.

6.4 Refunds will only be considered in exceptional circumstances at our sole discretion, such as duplicate purchases made in error.


7. Licence to use Products

7.1 When you purchase a Product, we grant you a non-exclusive, non-transferable, royalty-free, worldwide, perpetual licence to use the audio content contained in that Product ("Content") in your own original musical compositions and productions.

7.2 You may:

  • Use the Content in your own original musical works (including commercial releases, sync placements, beat sales, streaming, and live performance)
  • Modify, edit, layer, process, and combine the Content with other sounds in your productions
  • Distribute your final musical works containing the Content through any platform (streaming services, downloads, physical media, etc.)
  • Retain 100% of the royalties and revenue from your final musical works, with no further royalties, fees, or clearance owed to us now or in the future

7.3 You may not:

  • Resell, redistribute, lease, sublicense, share, or upload the Content (in whole or in part, modified or unmodified) as samples, loops, sound packs, sound libraries, presets, or any other competing audio product
  • Upload the Content to sample-sharing platforms, file-sharing networks, or any service that makes the raw audio available to third parties
  • Use the Content, or any product or dataset containing it, to train, develop, fine-tune, or provide input to any artificial intelligence or machine-learning system, model, or service
  • Use the Content in isolation or as the sole or primary basis of a musical work without meaningful creative transformation
  • Claim authorship or ownership of the Content itself
  • Use the Content in any manner that is unlawful, defamatory, infringing, or otherwise objectionable

7.4 The licence is granted to you (the purchaser) only and may not be transferred to any other person or entity. If you are purchasing on behalf of a company or band, the licence covers use by that entity.

7.5 Tonez Lab retains all copyright, ownership, and intellectual property rights in the Content. The licence granted under these Terms does not transfer ownership.

7.6 Breach of the licence terms in this Section 7 will result in immediate termination of your licence and may give rise to legal action.


8. Free downloads and promotional content

Free Products, including taster packs and promotional downloads, are subject to the same licence terms in Section 7. Providing a free Product does not waive any of our rights under these Terms.


9. Intellectual property and the Site

9.1 All content on the Site, including the Tonez Lab name, logo, wordmark, written content, images, and design, is owned by us and protected by UK and international intellectual property law.

9.2 You may not reproduce, copy, modify, or distribute any part of the Site without our prior written permission.


10. User accounts

10.1 If you create a customer account, you are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

10.2 You must notify us immediately of any unauthorised access to your account.


11. Acceptable use

You agree not to use the Site to:

  • Engage in any unlawful, fraudulent, or harmful activity
  • Attempt to gain unauthorised access to any part of the Site or our systems
  • Interfere with the operation of the Site or use automated systems (bots, scrapers) without our consent
  • Upload viruses, malware, or other harmful code
  • Harass, abuse, or threaten any person

12. Limitation of liability

12.1 Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded under English law.

12.2 Subject to clause 12.1, our total liability to you arising out of or in connection with these Terms or any Product purchased shall not exceed the amount you paid for the Product giving rise to the claim.

12.3 We are not liable for any indirect, consequential, or special losses, including loss of profits, loss of revenue, loss of data, or loss of opportunity.

12.4 Products are provided "as is." We do not warrant that any Product will be suitable for any particular purpose, will be uninterrupted or error-free, or will meet your specific requirements.


13. Changes to these Terms

13.1 We may update these Terms from time to time. The "Last updated" date at the top of this page will reflect the most recent change.

13.2 Any changes will apply to purchases made after the change is posted. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.


14. Privacy

Your use of the Site is also governed by our Privacy Policy, which forms part of these Terms.


15. Governing law and jurisdiction

15.1 These Terms are governed by the laws of England and Wales.

15.2 Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15.3 If you are a consumer based outside England and Wales, this clause does not deprive you of any mandatory consumer protection rights you have under the law of your country of residence.


16. Severability

If any provision of these Terms is found to be unlawful or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect.


17. Entire agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Tonez Lab in relation to your use of the Site and purchase of our Products.
